End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("User") and VirtualDrive ("Licensor," "we," "us"). This EULA governs your use of the VirtualDrive iOS application and Android application (collectively, the "App").

IMPORTANT NOTICE FOR APPLE APP STORE USERS: You acknowledge that this EULA is between you and VirtualDrive only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance, support, warranty, or other services for the App. In the event of any third-party claim that the App infringes intellectual property rights, Apple is not responsible for investigation, defense, or settlement of such claims. Apple and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it against you.

IMPORTANT NOTICE FOR GOOGLE PLAY USERS: You acknowledge that this EULA is between you and VirtualDrive only, not with Google LLC. Google is not responsible for the App, its content, or any claims arising from your use of the App.

Subject to your compliance with this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for your personal or internal business purposes as permitted by the applicable app store's usage rules.

For Apple App Store: Your license is subject to Apple's App Store Terms of Service. For Google Play: Your license is subject to Google Play's Terms of Service.

You may not:

• Copy, modify, distribute, sell, or transfer the App or any portion of it • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App • Remove, obscure, or alter any proprietary notices, labels, or marks • Use the App to build a competing product or service • Rent, lease, lend, sublicense, or provide the App as a service to third parties • Circumvent any technical protection measures in the App • Use the App in violation of any applicable law or regulation • Transfer your license rights to any third party

The App, including all intellectual property rights, is and remains the exclusive property of VirtualDrive and its licensors. This EULA does not transfer any ownership or intellectual property rights to you. All rights not expressly granted are reserved by VirtualDrive.

You retain ownership of all files and content you upload through the App ("Your Content"). You grant VirtualDrive a limited license to store and serve Your Content solely to provide the Service. You represent that you have all rights necessary to upload Your Content and that it does not violate any third-party rights or applicable law. You are solely responsible for Your Content.

The App offers subscription plans that unlock additional storage capacity. Subscriptions are offered on a monthly or annual basis.

FOR APPLE APP STORE SUBSCRIPTIONS: • Payment will be charged to your Apple ID account at confirmation of purchase • Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period • Your account will be charged for renewal within 24 hours prior to the end of the current period • You can manage and cancel subscriptions in your Apple ID Account Settings after purchase • Any unused portion of a free trial period will be forfeited when you purchase a subscription • Prices may vary by country and are subject to change. Apple will notify you of price changes.

FOR GOOGLE PLAY SUBSCRIPTIONS: • Payment will be charged to your Google Play account at confirmation of purchase • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period • You can manage and cancel subscriptions in your Google Play account settings • Refunds for Google Play purchases are subject to Google Play's refund policy

Our collection and use of your data is governed by our Privacy Policy, available at virtualdrive.us/privacy/ and within the App. By using the App, you consent to data practices described in the Privacy Policy. Our Privacy Policy is incorporated into this EULA by reference.

THE APP AND SERVICE ARE NOT A BACKUP SOLUTION. WE DO NOT GUARANTEE THAT YOUR FILES WILL BE PRESERVED AGAINST ALL LOSS SCENARIOS INCLUDING HARDWARE FAILURE, SOFTWARE DEFECTS, USER ERROR, CYBERATTACKS, OR SERVICE DISCONTINUATION.

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUPS OF ANY DATA STORED THROUGH THE APP. WE ARE NOT LIABLE FOR ANY LOSS, CORRUPTION, OR INACCESSIBILITY OF YOUR DATA, REGARDLESS OF CAUSE.

The App is available on the Apple App Store and Google Play Store. Your use of the App is also subject to the terms and policies of the respective store through which you downloaded the App. In the event of a conflict between this EULA and the applicable store's terms, this EULA shall govern to the extent not prohibited by such store's terms.

The App is designed for use on compatible iOS and Android devices. We make no representation that the App is appropriate or available for use in all locations or on all devices.

We may release updates to the App from time to time. Updates may be required to continue using the App or accessing certain features. We reserve the right to modify, suspend, or discontinue any feature of the App at any time. We are not obligated to provide support, updates, or new versions.

We reserve the right to modify this EULA. Continued use of the App after notice of changes constitutes acceptance. Material changes will be communicated through the App or via email.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES. APPLE AND GOOGLE PROVIDE NO WARRANTY WITH RESPECT TO THE APP.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRTUALDRIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $10.00, WHICHEVER IS GREATER.

APPLE AND GOOGLE HAVE NO LIABILITY WHATSOEVER WITH RESPECT TO THE APP OR THIS EULA.

VirtualDrive, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (a) product liability claims; (b) claims that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.

In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, VirtualDrive (not Apple or Google) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

This EULA is effective until terminated. Your rights terminate automatically if you fail to comply with any provision. Upon termination, you must cease all use of the App and delete all copies. Provisions that by nature survive termination shall survive, including Sections 8, 11, 12, and 13.

This EULA is governed by the laws of the United States. For EU users, mandatory consumer protection laws of your country of residence apply in addition to these terms.
